Acceptance of Terms

By accessing or using RangeSight, RangeIQ, or any other products and services provided by VALTHOR Technologies, LLC ("VALTHOR," "we," "our," or "us"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use our services.

Description of Services

VALTHOR provides drone mission planning software and related services. RangeSight is a mobile application for individual operators and teams. RangeIQ is a licensable platform providing APIs and SDKs for enterprise integration. Our services are designed to assist with mission planning and do not replace required pilot certifications, regulatory compliance, or professional judgment.

User Responsibilities

By using our services, you agree to:

  • Provide accurate information when creating an account
  • Maintain the security of your account credentials
  • Comply with all applicable laws and regulations, including FAA regulations and local drone operation laws
  • Use the services only for lawful purposes
  • Not attempt to reverse engineer, decompile, or disassemble our software
  • Not use the services to infringe on the rights of others
  • Take full responsibility for all flight operations and decisions

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. VALTHOR DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION PROVIDED THROUGH OUR SERVICES, INCLUDING BUT NOT LIMITED TO AIRSPACE DATA, WEATHER INFORMATION, OR TERRAIN DATA.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALTHOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Flight Operations Disclaimer

RangeSight and RangeIQ are planning tools designed to assist drone operators. They do not replace the need for proper training, certification, or compliance with applicable regulations. Users are solely responsible for conducting safe flight operations, obtaining necessary authorizations, and complying with all applicable laws. VALTHOR is not responsible for any incidents, accidents, or regulatory violations arising from drone operations.

Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and compilation thereof, are the exclusive property of VALTHOR Technologies, LLC and are protected by copyright, trademark, and other intellectual property laws. VALTHOR, RangeSight, and RangeIQ are trademarks of VALTHOR Technologies, LLC.

Subscriptions and Payments

For paid services:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to modify pricing with reasonable notice
  • You may cancel your subscription at any time; access continues until the end of the billing period
  • Offline map packs are one-time purchases and are non-refundable once downloaded

RangeIQ API Terms

Additional terms for RangeIQ API users:

  • API access is subject to rate limits and usage quotas as specified in your agreement
  • You may not resell or redistribute API access without authorization
  • We may modify or discontinue APIs with reasonable notice
  • Enterprise agreements supersede these general terms where applicable

Beta and Early Access Programs

Features designated as "beta," "preview," or "early access" are provided for evaluation purposes and may be modified, suspended, or discontinued at any time without notice. Beta features are provided "AS IS" without any warranty and may contain errors or inaccuracies. Your use of beta features is at your own risk.

Third-Party Services and Data

Our services incorporate data and functionality from third-party providers, including map data, weather information, and airspace data. This third-party content is provided "as is" and we make no warranties regarding its accuracy, completeness, or reliability. Third-party services are subject to their own terms and privacy policies. We are not responsible for the availability or performance of third-party services.

Offline Data and Map Packs

Offline map packs and cached data may become outdated over time. It is your responsibility to periodically update offline content to ensure accuracy. VALTHOR does not guarantee that offline data reflects current conditions, including but not limited to airspace restrictions, temporary flight restrictions (TFRs), or NOTAMs. Always verify critical information before flight operations.

Acceptable Use

You agree not to use our services to:

  • Plan or conduct flights that violate any applicable laws or regulations
  • Interfere with or disrupt the services or servers connected to the services
  • Attempt to gain unauthorized access to any portion of the services
  • Use automated means to access or collect data from our services without permission
  • Transmit viruses, malware, or other harmful code
  • Impersonate any person or entity
  • Use the services for any illegal, harmful, or fraudulent purpose

Indemnification

You agree to indemnify, defend, and hold harmless VALTHOR Technologies, LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your drone operations or flight activities.

Export Compliance

You agree to comply with all applicable export and import control laws and regulations, including the U.S. Export Administration Regulations. You may not export, re-export, or transfer the services or any technical data received from us to any country, entity, or person prohibited by applicable laws.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the services shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in Jefferson County, Kentucky, in accordance with the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Force Majeure

VALTHOR shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, power failures, internet outages, or failures of third-party services.

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use the services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Jefferson County, Kentucky.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable enterprise agreements, constitute the entire agreement between you and VALTHOR regarding the use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. These Terms will be binding upon and inure to the benefit of the parties and their permitted successors and assigns.

Waiver

The failure of VALTHOR to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of VALTHOR.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the services after changes become effective constitutes acceptance of the revised Terms.
